
Bylaws
Naugatuck Valley Genealogy Club, Inc .
(November 2005)
The name of this organization shall be Naugatuck Valley Genealogy Club.
The purpose of the club shall be to foster interest in the field of genealogy and to provide a forum for discussion and education about genealogy related matters. This Club shall be a not-for-profit organization. No part of the net earnings of the Club shall inure to the benefit of or be distributed to its members, officers, or other private persons or corporations, except that the Club shall be authorized and empowered to pay reasonable compensation for services rendered and to make payment and distributions in furtherance of the purpose set forth herein.
A. The Club shall be open to all who are interested in genealogy and who agree with the purpose of the Club.
B. Members are those who have paid the current dues.
C. Voting rights are limited to current members in good standing
D. Members will adhere to the following code of ethics
Members will:
1. use information for historical and genealogical interest only
2. respect books and records accordingly
3. respect privacy when researching
4. respect all applicable statutes and rules governing access to public records
E. A member may be removed by a vote of two-thirds of the membership. Members may be expelled for violation of the code of ethics or other just cause.
F. The fiscal year of the Club shall run from January 1 through December 31.
A. The governance of this Club shall be by an Executive Committee of five duly elected officers, Club Advisor, the immediate past president, and Committee Chairpersons of the three standing committees. The officers shall be President, Vice President, Secretary, Corresponding Secretary, and Treasurer. All shall be and remain members in good standing of the Club.
B. Six voting members of the Executive Committee shall constitute a quorum for conducting business. All meetings are open to members.
C. The Executive Committee shall conduct all business between regular business meetings and report such to the membership. It shall set the amount of the yearly dues prior to the commencement of the fiscal year.
D. The President shall preside at all business meetings of the Club and meetings of the Executive Committee .
E. The Vice President shall preside at all meetings in the President's absence.
F. The Recording Secretary shall be responsible for taking minutes at all business meetings of the Club and the Executive Committee, and shall distribute them at the next schedule meeting. The Recording Ssecretary shall retain all historical records. Including all minutes, and other related materials and such records shall be open and available to all members.
G. The Corresponding Secretary shall be responsible for all correspondence of the Club
H. The Treasurer shall be responsible for the collection of all money, shall handle all banking transactions, pay bills as directed by the membership and Executive Committee and keep accurate records of all financial matters.
I. There shall be a Club Advisor elected by the membership, who shall be a member with both voice and vote of the Executive Committee.
J. The election of Officers shall take place at the Annual Meeting.
K. Terms of Office:
1. The term of office shall be one year.
2. If an Officer is unable to fulfill his or her task, a replacement may be appointed by the Executive Committee.
3. An Officer may be recalled upon recommendation of the Executive Committee or any five members of the Club, followed by a two-thirds vote of the members present at a regular scheduled meeting.
A. Regularly scheduled meetings shall be set by the Executive Committee.
B. A quorum shall consist of one third of the members at a regular scheduled meeting.
C. There shall be an Annual Meeting of the membership during the month of November. Each Officer and the Chairperson of each committee shall make a report to the membership. The annual election of Officers will be held and other business conducted as necessary.
D. Robert's Rules of Order shall apply at all meetings unless otherwise noted in these bylaws.
A. The standing committees of the Club shall be Membership, Program, Development, and Research. The President shall appoint all Chairpersons of committees, such appointments to run concurrently with the President's term. The four committee chairpersons are members of the Executive Committee.
B. The Membership Committee shall keep the membership records of the Club, solicit annual dues, and conduct other business as may be agreed upon.
C. The Program Committee shall be responsible for planning the monthly programs and other events of the Club, including trips.
D. A Development Committee shall be responsible for fundraising, promotion, and publicity.
E. A Research Committee shall be responsible for coordinating research in response to requests and inquires from outside the club.
F. In addition, an ad hoc Nominating Committee, consisting of three members, two with whom shall not be officers, shall be appointed by the Executive Committee in time to provide a proposed slate of officers to the membership one month prior to the Annual Meeting.
G. The President may also appoint such other ad hoc committees as are necessary, and shall appoint Chairpersons of these committees, such appointments to run concurrently with that of the president, Membership of each committee shall be the responsibility of the appointed chairperson.
Amendments to these bylaws shall be accepted for introduction and discussion at any regularly scheduled meeting. Any such amendment may be voted on at a succeeding meeting. Any such amendment may be voted on at a suceeding regularly scheduled meeting. A two-thirds vote of those present shall be required for passage of any amendment to these bylaws. Notification of proposed amendments shall be sent to all members at least two weeks in advance of the meeting at which the vote is taken.
In the event of the dissolution of the Club, any money or property in its possession will after paying or making provisions for payment of all of the liabilities, dispose of all of its assets exclusively to charitable, religious, scientific or educational purposes as shall at the time qualify as a tax-exempt organization or organizations.
